Terms of Service

1. Cooperative Model

Cuspire operates as a cooperative organization that builds solutions for the entire group of participating credit unions. By using our services, you acknowledge that:

• We develop solutions collaboratively for the benefit of all cooperative members
• Shared development costs result in more affordable solutions for everyone
• All members benefit from collective innovation and improvements
• The cooperative model requires mutual participation and collaboration

2. Participation and Collaboration

Participation, ideation, and sharing are critical to our cooperative success. Members agree to:

• Actively participate in collaborative development processes
• Share feedback, ideas, and suggestions for solution improvements
• Contribute to the collective knowledge base when possible
• Engage constructively with other cooperative members
• Support the cooperative model through active participation

3. Intellectual Property and Code Ownership

Custom Development

For custom development work specifically paid for by a credit union:

• The paying credit union owns the resulting code and intellectual property
• Ownership includes full rights to modify, distribute, or commercialize the custom solution
• Custom development agreements will specify exact ownership terms

Product Offerings and Subscriptions

For standard product offerings and subscription services, members agree that:

• You are subscribing to use the solutions, not purchasing ownership
• Cuspire retains all intellectual property rights to standard products
• You may not reverse engineer, decompile, or attempt to derive source code
• Upon termination of membership, you agree to destroy all copies of provided solutions
• You may not redistribute, sell, or license solutions to third parties

4. Use of Services

You agree to use our services only for lawful purposes and in accordance with these terms. You may not:

• Use the services for any illegal or unauthorized purpose
• Interfere with or disrupt the services or servers
• Attempt to gain unauthorized access to any part of the services
• Share access credentials with unauthorized parties

5. Membership and Termination

Membership in the Cuspire cooperative may be terminated by either party with appropriate notice. Upon termination:

• Access to subscription-based solutions will cease
• You must destroy all copies of provided solutions (except custom-owned code)
• Outstanding obligations remain in effect
• Custom-developed solutions remain with the owning credit union

6. Limitation of Liability

Cuspire provides solutions "as is" without warranties of any kind. We shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services.

7. Changes to Terms

We may modify these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms.
